SEC puts tokenization risks on its fiscal 2027 examination list

The U.S. Securities and Exchange Commission has included tokenization risks in its fiscal 2027 examination priorities, setting out areas of scrutiny across a program covering more than 34,000 registrants.

    Summary

    • The SEC has included tokenization risks in its fiscal 2027 examination priorities.
    • Clearing agencies and entities covered by Regulation SCI face explicit tokenization reviews.
    • The priorities create no new legal obligations or changes to existing securities laws.
    • Broker-dealer examinations will cover trading practices, supervision, financial responsibility and AML compliance.

The SEC announced the priorities on Oct. 23, identifying evolving market infrastructure as a risk area alongside investor protection, private credit, cybersecurity and emerging technologies. Its examination program covers investment advisers, investment companies, broker-dealers, clearing agencies, transfer agents and other regulated businesses.

“Risks associated with evolving market infrastructure, including Treasury clearing reforms, tokenization, and related developments,” the release states.

The agency said examination observations, market developments, investor concerns and industry engagement informed its selections. The list is not exhaustive, and examiners may change their focus as products, services and market conditions develop.

Tokenization reviews name clearing agencies and SCI entities

The Division of Examinations’ full report places tokenization among the high-risk areas it will review at clearing agencies, alongside defaults, recovery, wind-down arrangements, securities lending and operations.

In its Regulation Systems Compliance and Integrity section, the division names tokenized securities, extended trading hours, quantum computing and advanced intelligence technology. Reviews will examine covered entities’ reliance on cloud services and other outside vendors.

Transfer-agent examinations will cover emerging technology used to perform transfer-agent functions, ownership records, transfers, and safeguards for funds and securities, according to the report.

Neither the release nor the report explicitly names “crypto assets” or “cryptocurrency.” The report’s disclaimer says it creates no new legal obligations and does not amend existing law.

SEC scrutiny accompanies conditional tokenized stock trading

The examination agenda follows the commission’s Sept. 17 Innovation Exemption, which granted conditional relief for certain blockchain venues trading tokenized National Market System stocks.

The SEC’s announcement permits qualifying Tokenized Securities Venues to bring buyers and sellers together through permissioned automated market maker liquidity pools. Separate conditions govern access to those pools.

Eligible venues face limits on the number of stock symbols and trading volume, the agency said. They must verify that token holders receive the same rights as owners of equivalent conventional shares.

The SEC requires venues to notify an underlying issuer before admitting certain stocks tokenized by an unaffiliated third party, giving that issuer an opportunity to object. Smart contracts must be public, auditable, and deployed on a public, permissionless distributed ledger.

Trading must stop when the underlying stock’s primary listing exchange halts trading, according to the exemption announcement.

SEC Chairman Paul Atkins said in his accompanying statement that federal antifraud and anti-manipulation provisions continue to apply fully. He described the order as temporary relief under Section 36 of the Securities Exchange Act, covering specified venues and liquidity providers.

Atkins said venues must be U.S. persons and comply with Treasury sanctions programs. Access standards must limit participation to eligible traders, while qualifying stock tokens must preserve dividend and voting rights.

His statement called for public comments to help the commission develop permanent rules governing onchain markets. Atkins described the relief as an interim measure while the agency considers further changes to accommodate blockchain trading, with investor protections attached to participation.

Exemptions do not settle every registration question

Hester Peirce, then an SEC commissioner, said in a Sept. 17 statement that the commission would observe how firms use the exemptions before drawing conclusions about their regulatory classification.

She said relying on the relief does not, by itself, establish that a participant is an exchange or dealer. The exemptions are available to U.S. persons, including existing businesses and new entrants.

Peirce described the framework as an opportunity to study how tokenized stocks trade in different blockchain settings and interact with conventional markets. She said the commission remained open to other models, including arrangements that could operate within existing Exchange Act requirements without an exemption. Peirce said temporary relief would let regulators and market participants observe actual trading activity before designing more lasting rules.

In separate remarks covered on Sept. 25, Peirce advocated using zero-knowledge proofs and credentials for identity checks. Her proposals for privacy-based compliance did not change existing customer-identification or anti-money-laundering requirements.

The examination release separately identifies broker-dealer financial responsibility, trading practices, supervision and AML compliance as priorities. Its investor-protection agenda includes complex, higher-risk and illiquid products, while private funds and private credit receive their own place on the list.

Institutions continue preparing tokenized securities services

Morgan Stanley’s preparations illustrate the operational work still underway at financial institutions. As crypto.news reported on Oct. 12, the bank moved its expected tokenized equity timetable to the first quarter of 2027 from the second half of 2026.

Amy Oldenburg, its head of digital asset strategy, said suitable products and institutional demand were still developing. The planned service would add tokenized securities to the bank’s Trajectory Cross alternative trading system; the report did not identify a confirmed launch date or eligible stock list.

European authorities are examining tokenized collateral separately. An Oct. 9 consultation from the European Securities and Markets Authority seeks evidence on custody, redemption, valuation and whether clearinghouses can liquidate tokenized assets during a member default.

The consultation gives banks, clearinghouses, custodians and technology providers until Jan. 15, 2027, to respond. ESMA plans to assess the submissions during the first quarter of 2027 before deciding whether further regulatory action is needed.
