Recall Foundation plans 35.86% burn with no holder payouts

Recall Foundation has announced plans to wind down and burn 358.6 million RECALL tokens, with no treasury payouts or buybacks for holders.

    Summary

    • Recall plans to burn 35.86% of RECALL’s supply, including locked treasury and ecosystem reserves.
    • Creditors and vendors are allocated $3.45 million from the Foundation’s estimated $3.7 million treasury.
    • Staked tokens remain outside the burn, but holders must initiate their own withdrawals.
    • The app becomes read-only on Nov. 30, with later withdrawals available through the staking contract.

Recall Foundation said in its Oct. 30 announcement that its board had reviewed adoption, operating costs, and growth projections before deciding further protocol development was no longer commercially viable.

After considering strategic alternatives, the board chose an orderly shutdown. The decision was not caused by a hack or security incident, according to the notice.

The Foundation will stop software development, administrative assistance, and liquidity support. Exchanges will independently decide whether RECALL remains available for trading, and the Foundation said it expects delistings.

RECALL holders will receive no treasury distribution

The shutdown plan rules out token purchases, redemptions, and any proportional distribution of remaining treasury assets.

“There is no buyback, redemption mechanism, or pro-rata distribution of treasury assets to token holders,” the Foundation said.

Its estimated $3.7 million in USDC, USDT, and fiat assets, measured as of Oct. 30, is fully allocated to outstanding obligations and closure expenses.

Creditors and vendors account for $3.45 million. Another $200,000 is reserved for legal work, liquidation, security, engineering, insurance, and team transition. The remaining $50,000 will cover potential claims and contingencies until liquidation ends.

On those estimates, nothing remains after the proposed allocations. The figures are unaudited and may change.

Recall’s published tokenomics described RECALL as a token for network participation, fees, rewards and eventual governance. Its accompanying terms stated that the token did not represent equity, ownership or rights to revenue, assets, dividends, or profits.

The liquidation notice says applicable statutory and regulatory requirements take precedence over its statements. The announced plan does not establish a separate recovery process for token holders.

The proposed burn includes locked RECALL reserves

The Foundation estimates that 358,562,442 tokens fall within its custody or control, equivalent to 35.86% of the original one-billion-token supply.

Locked ecosystem reserves make up the largest allocation at 175.9 million RECALL, followed by 79.7 million in unlocked Foundation-controlled wallets and 57.8 million in locked treasury tokens.

The remaining categories include 37 million tokens associated with market-maker loans and outstanding options, 6.7 million in liquidity pools, and 1.5 million in unvested vendor, adviser, and Foundation employee allocations.

Liquidity-pool balances may change, while the market-maker estimate assumes outstanding options expire out of the money, meaning they are not profitable to exercise.

Following the proposed burn, the Foundation estimates 641,437,558 RECALL would remain, with none held by the organization.

Tokens will be sent to a designated inaccessible address. Although the notice’s timeline lists Foundation tokens being burned on Oct. 30, its detailed burn section places the expected transfer immediately before the Cayman Foundation’s liquidation in the first quarter of 2027.

Staking withdrawals continue after the app becomes read-only

User-owned staked RECALL is excluded from the burn. Holders must initiate unstaking and withdrawal themselves because positions will not be released automatically.

New unstaking requests made from Oct. 30 have no 30-day cooldown. Requests already waiting retain their original withdrawal dates, and existing stake lockups remain unchanged.

The Foundation-hosted application becomes read-only on Nov. 30. Holders whose lockups expire later can still withdraw directly through the staking contract.

The published instructions require users to connect the wallet holding their stake, select “Write as Proxy,” call unstake(tokenId) after the lockup expires, then call withdraw(tokenId). Both transactions require ETH on Base for gas.

New competitions and staking rewards stop under the shutdown schedule. Running competitions will end, with earned rewards distributed through the application.

Recall Foundation plans liquidation across two jurisdictions

The Foundation said its board acted independently of Recall Labs, a separate corporate entity. Its notice covers the Foundation and its wholly owned subsidiary, Atlas Networks Limited.

Atlas is expected to enter voluntary liquidation under British Virgin Islands law in December 2026. The Foundation expects to begin its own Cayman Islands proceedings in January 2027.

Final liquidation and the remaining token burn are estimated for the first quarter of 2027.
